1. Acceptance of these Terms

By accessing or using https://www.e-nvirogreen.com and any public pages, forms or features made available through it (collectively, the “Website”), you agree to these Website Terms of Use (“Terms”). If you do not agree, do not use the Website.

If you use the Website on behalf of an organization, you represent that you have authority to bind that organization to these Terms. “You” includes that organization where applicable.

2. About e-nviroGreen

e-nviroGreen Inc. is a federally incorporated Canadian company based in Toronto, Ontario. The Website provides information about sustainable interior design, furnishing, FF&E and OS&E procurement, project coordination, digital workflows, partner relationships, Insights content and related services.

3. Eligibility and intended users

The Website is intended for persons who have reached the age of majority in their jurisdiction and for authorized representatives of businesses, institutions and other organizations. The Website is not directed to children.

4. Informational nature of the Website

Website content is general information only. It is not architectural, engineering, legal, tax, financial, environmental-certification, building-code, procurement, customs, accessibility or other professional advice for a specific project.

Project outcomes depend on scope, site conditions, design decisions, approvals, product availability, supply chains, budgets, regulations and other factors. You should obtain appropriate professional advice before acting on Website content.

5. No offer, quotation or project contract

Website content, budget examples, product references, lead-time ranges and sustainability information are invitations to discuss a potential engagement and are not binding offers.

Submitting a contact form, quote, project brief, partner application or other material does not require e-nviroGreen Inc. to accept work, issue a proposal, preserve pricing, reserve capacity or enter into an agreement. No project contract exists until authorized parties enter into a separate written agreement or otherwise complete a legally valid acceptance process expressly identified by e-nviroGreen Inc..

6. Accuracy and changes

We seek to keep Website information accurate and current, but information may be incomplete, unavailable, superseded or affected by third-party data. We may update, correct, suspend or remove content or features without notice.

7. Sustainability, product and performance statements

Environmental, lifecycle, circularity, energy, cost, durability, certification and performance statements are context-dependent. A statement about one product, project or methodology should not be treated as a guarantee for another.

Unless expressly stated in a project agreement, e-nviroGreen Inc. does not warrant that a project or product will achieve a particular certification, carbon reduction, energy saving, lifecycle cost, delivery date, local-content threshold or other result. Third-party certifications and manufacturer claims remain subject to their issuing bodies and applicable conditions.

8. Acceptable use

You may use the Website only for lawful, legitimate purposes. You must not:

• Access or attempt to access another person’s account, project or data;

• Interfere with Website security, availability or operation;

• Introduce malware, harmful code or automated traffic that unreasonably burdens the Website;

• Scrape, harvest, reverse engineer or systematically extract Website content or data except where permitted by law;

• Impersonate another person or misrepresent your authority, identity, project, products, certifications or business;

• Upload unlawful, infringing, defamatory, deceptive, confidential-without-authority or malicious content;

• Use Website content or submissions to train or develop an AI model without our prior written permission; or

• Use the Website in a manner that violates law or the rights of another person.

9. Intellectual property

The Website and its original text, graphics, layouts, logos, trade names, service marks, photographs, illustrations, videos, downloads and other content are owned by or licensed to e-nviroGreen Inc. and are protected by applicable intellectual-property laws.

We grant you a limited, revocable, non-exclusive, non-transferable licence to view and use the Website for internal evaluation of our services and legitimate business interactions with us. No ownership rights are transferred.

You may not reproduce, publish, adapt, distribute, sell, license, remove attribution from or commercially exploit Website content without prior written permission, except to the extent permitted by law.

10. Your submissions and project materials

You retain ownership of material you submit. You grant e-nviroGreen Inc. and its service providers a limited, non-exclusive licence to host, copy, process, transmit, review and use that material only as reasonably necessary to respond to your request, operate the Website, assess a potential engagement, provide agreed services, protect the Website or comply with law.

You represent that you have the right and authority to submit the material and to permit this limited use. Do not upload passwords, payment-card data, health information, government identifiers, trade secrets or other highly sensitive information unless we expressly request it through an approved secure process.

Website submission does not by itself create an NDA. Confidentiality obligations arise only under an applicable NDA, services agreement, proposal, portal agreement or other written commitment.

11. AI-assisted and automated tools

The Website or our internal workflows may use automated or AI-assisted tools to organize, extract, classify, summarize or support review of submitted information. Unless separately disclosed and agreed, these tools do not replace professional judgment or create a binding project decision.

We do not authorize confidential project materials to be used to train public or general-purpose AI models unless the affected client has separately agreed in writing.

12. Accounts and portal access

Account and Client Portal use may be subject to separate Client Portal Terms. You are responsible for protecting credentials and for activity performed through your account. Notify us promptly of suspected unauthorized access.

We may suspend access where reasonably necessary to protect users, data, projects or the Website, or to address suspected misuse or legal requirements.

13. Third-party websites and services

The Website may link to or integrate third-party services. We do not control them and are not responsible for their availability, content, privacy practices, security or terms. Your use of third-party services is governed by the applicable third party.

14. Privacy and electronic communications

Our collection, use and disclosure of personal information is described in our Privacy Policy and Cookie Notice. Marketing communications are subject to applicable consent and unsubscribe requirements.

You agree that operational messages relating to your inquiry, application, account, security, project or transaction may be sent electronically. These are not necessarily marketing messages.

15. Website availability and security

We use reasonable measures to operate and protect the Website, but no internet service is completely secure, uninterrupted or error-free. You are responsible for maintaining appropriate device, network and backup protections.

16. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR COLLATERAL, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY OR SECURITY.

Nothing in these Terms excludes a warranty, condition, remedy or right that cannot lawfully be excluded.

17. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, E-NVIROGREEN INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL LOSS, OR FOR LOSS OF PROFIT, REVENUE, OPPORTUNITY, DATA, GOODWILL OR BUSINESS INTERRUPTION ARISING FROM PUBLIC WEBSITE USE.

For claims arising solely from use of the free public Website, our aggregate liability will not exceed the greater of CAD $100 and the amount you paid specifically for use of the Website during the twelve months before the event giving rise to the claim.

These limits do not apply to liability that cannot be limited by law and do not alter liability allocated in a separate signed project agreement.

18. Indemnity

To the extent permitted by law, you will indemnify e-nviroGreen Inc. against third-party claims, losses and reasonable costs arising from material you submit, your unlawful use of the Website, your infringement of another person’s rights or your material breach of these Terms. This section does not apply to the extent a claim was caused by our negligence or wilful misconduct.

19. Suspension and termination

We may restrict or terminate Website access where reasonably necessary because of misuse, security risk, legal requirements, non-payment under an applicable agreement or material breach. Provisions that by their nature should survive will continue, including intellectual property, disclaimers, liability limits and governing law.

20. Governing law and disputes

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules.

Subject to any non-waivable consumer or statutory rights, the courts located in Toronto, Ontario will have exclusive jurisdiction over disputes relating to these Terms or the Website.

21. Changes to these Terms

We may update these Terms by posting the revised version and a new effective date. Material changes will be highlighted or otherwise communicated where reasonably appropriate. Continued use after the effective date means you accept the revised Terms.

22. General

If a provision is unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. These Terms and the documents expressly incorporated by reference form the agreement governing public Website use.
